Terms & Conditions

Please read these terms carefully before using our services. By engaging with Decent Educare, you agree to be bound by the following provisions.

1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by Decent Educare ("we," "us," or "our"), a study abroad consultancy registered and operating in Bangladesh. By accessing our website, visiting our office, or engaging our services, you agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use our services. These Terms apply to all students, parents, guardians, and any third parties who interact with Decent Educare for the purpose of overseas education counseling, university application assistance, visa guidance, test preparation, or any related services.

2. Services We Provide

Decent Educare offers a range of services including but not limited to: • Profile assessment and academic evaluation • University and course shortlisting based on student profile • Application preparation and submission assistance • Statement of Purpose (SOP) and essay review guidance • Scholarship identification and application support • Visa documentation review and interview preparation • IELTS, PTE, and other standardized test preparation courses • Pre-departure orientation and accommodation guidance • Airport pickup coordination (where available) The specific services provided to you will be outlined in a service agreement or engagement letter signed by both parties before the commencement of work. Not all services are available for all destinations, and availability is subject to our current partnerships and capabilities.

3. Eligibility

To use our services, you must: • Be at least 16 years of age. If you are under 18, a parent or legal guardian must sign these Terms on your behalf and supervise your engagement with us. • Be a citizen or resident of Bangladesh, or otherwise eligible to receive education counseling services from a Bangladeshi-registered entity. • Provide accurate, complete, and truthful information in all interactions with Decent Educare, including academic records, financial documents, identity documents, and personal statements. • Understand that our services are advisory and facilitative in nature — we do not guarantee admission to any university, approval of any visa, or award of any scholarship. If at any point we discover that you have provided false or misleading information, we reserve the right to immediately terminate our services without refund.

4. Your Obligations

As a client of Decent Educare, you are responsible for: • Responding to all communications from our team in a timely manner. Delays on your part may result in missed deadlines, which we cannot be held liable for. • Providing all required documents in the format and within the timeframe specified by our counselors. • Attending scheduled counseling sessions, test preparation classes, and mock interviews. Missed sessions without prior notice will not be rescheduled free of charge. • Ensuring that all information provided in applications, visa forms, and financial documents is truthful and accurate to the best of your knowledge. • Making all payments on time as outlined in your service agreement. • Keeping your login credentials for any student portal or application system secure and confidential. • Informing us immediately of any changes to your contact information, academic status, or financial situation that may affect your application. Failure to meet these obligations may result in delays, additional charges, or termination of services at our discretion.

5. Fees and Payment

Our fee structure is as follows: • Initial Consultation: Free of charge with no obligation. • Service Fees: Detailed in your individual service agreement. Fees vary based on the destination country, level of study (undergraduate, postgraduate, PhD), and the specific services selected. • University Application Fees: Paid directly to the university or through us as per the university's requirements. These fees are separate from our service charges. • Test Preparation Fees: Charged separately based on the course duration and format (in-person or online). • Visa Fees: Paid directly to the relevant embassy or visa application center. We do not collect visa fees on behalf of any government authority. Payment Terms: • A portion of the service fee is due at the time of signing the service agreement. • The remaining balance is due before we submit your final visa application or as specified in your agreement. • We accept payment via bank transfer, bKash, Nagad, and cash at our office. • All prices are quoted in Bangladeshi Taka (BDT) unless otherwise stated and are exclusive of any applicable taxes. No refunds will be issued once services have been commenced, except as outlined in the Refund Policy section below.

6. Refund Policy

We understand that circumstances can change. Our refund policy is as follows: • If your application is rejected by all universities you applied to through us, and we determine that the rejection was due to an error on our part (not due to incomplete or inaccurate information provided by you), you may be eligible for a partial refund of up to 50% of the service fee. • If your visa is refused and we determine that the refusal was caused by incorrect guidance or documentation errors made by our team, you may be eligible for a partial refund of up to 30% of the service fee for the visa assistance portion. • No refund is applicable if your visa is refused due to reasons beyond our control, including but not limited to: failure to disclose relevant information, changes in immigration policy, financial ineligibility, or failure to attend the visa interview. • Test preparation fees are non-refundable once classes have commenced. • If you choose to withdraw from our services of your own accord before any applications have been submitted, a cancellation fee of 20% of the total service fee will be deducted from any refund. • All refund requests must be submitted in writing within 14 days of the event triggering the refund claim. Refunds, if approved, will be processed within 30 working days. This refund policy is subject to the specific terms outlined in your signed service agreement. In case of conflict, the service agreement takes precedence.

7. No Guarantees

Decent Educare provides professional counseling and application assistance services. It is critically important that you understand: • We do NOT guarantee admission to any university, college, or educational institution. Admission decisions are made solely by the admitting institution based on their own criteria. • We do NOT guarantee the approval of any student visa, work permit, or immigration document. Visa decisions are made solely by the relevant government authority and are subject to their policies, which may change without notice. • We do NOT guarantee the award of any scholarship, bursary, or financial aid. Scholarship decisions are made by the granting organization. • We do NOT guarantee any specific IELTS, PTE, TOEFL, GRE, or GMAT score. Test scores depend entirely on your preparation, aptitude, and performance on the test day. • Any representation or implication of guaranteed outcomes made by any individual associated with Decent Educare should be reported to management immediately and is not binding on the organization. What we DO guarantee is professional, honest, and diligent service based on our experience and knowledge of the study abroad landscape as it exists at the time of engagement.

8. Confidentiality and Data Protection

We take your privacy seriously. Our data practices are as follows: • We collect personal information (name, contact details, academic records, financial information, passport details) solely for the purpose of providing our services. • Your information is stored securely and is accessible only to authorized team members who are directly involved in your case. • We will share your information with universities, scholarship bodies, and visa authorities only with your explicit written or electronic consent. • We will never sell, rent, or trade your personal information to third parties for marketing purposes. • You may request access to, correction of, or deletion of your personal data at any time by contacting us in writing. However, deletion requests may be limited if we are required to retain certain records for legal or regulatory compliance. • Our website uses cookies and analytics tools to improve user experience. By continuing to use our website, you consent to the use of these technologies as described in our Privacy Policy. 9. Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, videos, course materials, SOP templates, and software, is the intellectual property of Decent Educare or its licensors and is protected by applicable copyright and trademark laws. • You may not reproduce, distribute, modify, or create derivative works from any content on our website or provided as part of our services without prior written permission. • SOPs, personal statements, and application essays prepared with our guidance are intended for your personal use in university applications only. Redistributing, selling, or sharing these documents with others is strictly prohibited. • Our IELTS and test preparation materials are proprietary and may not be copied, shared, or used for any commercial purpose. • The Decent Educare name, logo, and branding elements may not be used without our explicit written consent.

10. Limitation of Liability

To the fullest extent permitted by applicable law in Bangladesh: • Decent Educare's total liability arising out of or in connection with our services shall not exceed the total service fees paid by you to us. • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of opportunity, emotional distress, or reputational harm. • We are not liable for any loss, delay, or damage caused by factors beyond our reasonable control, including but not limited to: university policy changes, immigration law changes, embassy processing delays, natural disasters, pandemics, political instability, or technology failures. • We are not responsible for the actions, decisions, or policies of any third party, including universities, scholarship bodies, embassies, testing organizations, or travel providers. • Our liability for any single claim or series of related claims shall not exceed the amount specified above, regardless of the legal theory on which the claim is based. This limitation of liability applies to the fullest extent permitted by law and survives the termination of our services.

11. Third-Party Services

Our services may involve interactions with or referrals to third parties, including: • Universities and educational institutions • Visa application centers and embassies • English language testing organizations (British Council, IDP, Pearson, ETS) • Travel agencies and accommodation providers • Financial institutions for education loans • Medical clinics for visa medical examinations While we strive to work with reputable partners, we do not control and are not responsible for the services, policies, or conduct of these third parties. Any transactions you have with third parties are solely between you and that third party, and their own terms and conditions will apply. We may provide links to third-party websites for your convenience. We do not endorse or take responsibility for the content, accuracy, or practices of any linked website.

12. Termination of Services

Either party may terminate the service engagement under the following conditions: By You: • You may terminate our services at any time by providing written notice. However, fees already paid are non-refundable except as outlined in the Refund Policy, and any outstanding balances remain due and payable. • If you provide false information or engage in fraudulent conduct, we may terminate immediately without refund. By Us: • We may terminate services if you fail to meet your obligations as outlined in Section 4 after providing written notice and a reasonable opportunity to remedy the situation. • We may terminate immediately without notice if you engage in abusive, threatening, or disrespectful behavior toward our staff. • We may suspend or terminate services if required to do so by law or regulatory authority. • We reserve the right to refuse services to any individual at our discretion. Upon termination, we will return all original documents you have provided to us within 15 working days, subject to any legal hold or ongoing application requirements.

13. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services: • Both parties agree to first attempt to resolve the matter through good-faith negotiation. You may submit a formal complaint to our management team in writing, and we commit to responding within 10 working days. • If the dispute cannot be resolved through negotiation within 30 days, either party may escalate the matter to mediation through a mutually agreed-upon mediator in Dhaka, Bangladesh. • If mediation is unsuccessful, the dispute shall be referred to arbitration in accordance with the Arbitration Act, 2001 of Bangladesh. The arbitration shall be conducted in Dhaka, and the language of arbitration shall be English. • The arbitral award shall be final and binding on both parties. • Notwithstanding the above, either party may seek interim injunctive relief from a court of competent jurisdiction in Bangladesh to prevent irreparable harm. These dispute resolution provisions do not prevent either party from approaching any consumer protection authority in Bangladesh for grievance redressal.

14. Changes to These Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. When we make changes: • We will update the "Last Updated" date at the top of this page. • For material changes that may affect your rights or obligations, we will make reasonable efforts to notify you via email or a prominent notice on our website. • Your continued use of our services after the updated Terms are posted constitutes your acceptance of the revised Terms. • If you do not agree with the updated Terms, you must discontinue our services and notify us in writing before the changes take effect. We encourage you to review these Terms periodically to stay informed of any updates. The version of these Terms applicable to your engagement is the version in effect at the time you signed your service agreement, unless both parties agree in writing to be governed by a subsequent version.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law principles. All legal proceedings arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh, except as otherwise provided in the Dispute Resolution section above. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the original provision.
